Defined Terms

This page is a master list of the terms defined in our agreements, policies, and other documents. Where a document defines a term differently, the definition in that document controls for that document.

Definitions

• Affiliate – An entity that controls, is controlled by, or is under common control with a party, where control means ownership of more than 50% of the voting interests.
• Beta Service – A pre-release service offering identified as beta, pilot, evaluation, or similar, governed by the Beta Program Agreement.
• Client – The company or other legal entity, and its Affiliates, on whose behalf this Agreement is accepted.
• Client Data – Electronic data and information submitted by or for Client to the Services.
• Content – Information obtained by the Company from publicly available sources or third-party content providers and made available to Client through the Services, as well as text, uploads, and other material posted by users.
• Data Owner – The organization whose compliance, illumination, or supply chain information a record describes, regardless of which party pays for the corresponding Service.
• Documentation – The applicable usage guides and policies for the Services, as updated from time to time.
• Illumination – The process of mapping a supply chain and collecting current status information from the suppliers and subcontractors within it.
• Incident – An event that actually or potentially jeopardizes the confidentiality, integrity, or availability of a Service or the information it processes, stores, or transmits.
• Malicious Code – Code, files, scripts, agents, or programs intended to do harm, including viruses, worms, time bombs, and Trojan horses.
• Included Monitoring Allowance – The three (3) subcontractors every account may monitor at no charge, before any monitoring pack is purchased.
• Monitoring Pack – A unit of purchased monitoring capacity, sold at a published per-subcontractor rate that varies by pack size. Packs of different sizes may be combined to reach any required capacity.
• Order Form – An ordering document or online order specifying the Services to be provided, entered into between Client and the Company.
• Participant – The entity participating in the CyberIllumination™ beta program under the Beta Program Agreement.
• Prime – A contractor that holds a contract directly with the Department of War or another customer and monitors its supply chain through the Services.
• Purchased Services – Services that Client or Client’s Affiliate purchases under an Order Form, as distinguished from Free Services or Beta Services.
• Security Breach – A confirmed unauthorized access to or disclosure of Client Data.
• Services – The products and services that are ordered by Client or provided to Client by the Company, including the CyberIllumination™ platform.
• Sub / Subcontractor – An organization at any tier of a supply chain that responds to illumination inquiries. Recording your own status and sharing it with any prime that requests it is free, permanently and by design.
• Subscription – The right to access and use a Service for the term stated in the applicable Order Form. Subscriptions renew automatically until cancelled.
• User – An individual who is authorized by Client to use a Service and to whom Client (or the Company at Client’s request) has supplied a user identification and password.
